These Terms & Conditions govern your use of Aphelion's website and the services we provide. By accessing our website or engaging our services, you agree to these terms. Please read them carefully.
1. Definitions
- "Aphelion", "we", "us", "our" โ refers to Aphelion, operating from 39 Queens Road East, Wan Chai, Hong Kong.
- "Services" โ refers to our AI services including Automated Report Generation, AI-Powered Customer Segmentation, and Responsible AI Assessment.
- "Client", "you" โ refers to any individual or organisation that engages our services or uses our website.
- "Agreement" โ refers to these Terms together with any project-specific engagement letter or statement of work.
- "Deliverables" โ refers to the outputs produced as part of a service engagement, including systems, reports, and documentation.
2. Acceptance of Terms
By using our website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into this agreement, and accept these Terms in full. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
3. Service Description
Aphelion provides AI services to business clients, including:
- Automated Report Generation โ building AI systems to produce structured reports from client data
- AI-Powered Customer Segmentation โ analysing customer data to identify behavioral clusters and profiles
- Responsible AI Assessment โ reviewing existing AI systems for fairness, accountability, and transparency
The specific scope of each engagement is agreed in writing before work commences. Services are available to clients in Hong Kong and, on a case-by-case basis, internationally. All prices are stated in Hong Kong Dollars (HKD).
4. Enquiries and Proposals
Submitting a contact form or making an enquiry does not constitute a binding agreement. An engagement is formed only when both parties have agreed to a written scope of work and Aphelion has confirmed acceptance. We reserve the right to decline any engagement at our discretion.
5. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and lawfully obtained data required for service delivery
- Ensure you have the necessary rights and permissions to share data with Aphelion
- Participate in scoping and feedback processes as reasonably required
- Use Aphelion's deliverables in accordance with applicable laws and ethical standards
- Not attempt to reverse-engineer, reproduce, or redistribute Aphelion's proprietary methods without consent
6. Intellectual Property
All proprietary methodologies, frameworks, tools, and background knowledge developed by Aphelion remain our intellectual property. Deliverables created specifically for your engagement (such as reports, models, and documentation) are licensed to you for your internal business use upon full payment. Unless otherwise agreed in writing, Aphelion retains ownership of underlying methods and tools used in delivery.
You retain all ownership rights to the data you provide to Aphelion for the purposes of service delivery.
7. Payment Terms
Payment terms are specified in individual engagement agreements. Generally:
- Invoices are payable within 14 days of the invoice date unless otherwise agreed
- All prices are in Hong Kong Dollars (HKD) and exclusive of any applicable taxes
- Late payments may attract interest at a rate of 1.5% per month
- We reserve the right to suspend services in the event of non-payment
Refund terms, where applicable, are specified in individual engagement letters.
8. Confidentiality
Both parties agree to treat the other's confidential information with the same degree of care as their own confidential information, and in any event no less than reasonable care. Aphelion will not disclose client data to third parties except as required for service delivery, with your consent, or as required by law. This obligation survives termination of any engagement.
9. Disclaimers
Our services are provided on a professional basis, and we take care in the quality of our work. However, AI systems and assessments involve inherent uncertainties. We do not warrant that:
- AI-generated outputs will be free from error in all cases
- Recommendations will produce specific business outcomes
- Assessment findings will satisfy all regulatory requirements in all jurisdictions
Our website is provided on an "as is" basis. We make no representations about its suitability for any particular purpose.
10. Limitation of Liability
To the maximum extent permitted by Hong Kong law, Aphelion's total liability for any claim arising from a service engagement shall not exceed the fees paid for that specific engagement. We shall not be liable for indirect, consequential, incidental, or special damages, including loss of profits or data.
Nothing in these Terms limits our liability for fraud, personal injury caused by negligence, or any liability that cannot be excluded by law.
11. Termination
Either party may terminate an engagement by giving written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice. Aphelion may also suspend or terminate services in the event of non-payment or where continuing the engagement would require us to act in a manner we consider unethical or unlawful.
On termination, any fees due for work completed up to the termination date remain payable.
12. Dispute Resolution
These Terms are governed by the laws of Hong Kong. In the event of a dispute, the parties agree to first attempt to resolve the matter informally through good-faith discussion. If informal resolution is not achieved within 30 days, the dispute shall be referred to the courts of Hong Kong, which shall have exclusive jurisdiction.
13. General Provisions
- Entire Agreement: These Terms, together with any engagement-specific agreements, constitute the full agreement between the parties on the subject matter.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
14. Changes to These Terms
We may update these Terms from time to time. When changes are made, we will update the "Last Updated" date above. For active clients, material changes will be communicated directly. Continued use of our website or services after changes are published constitutes acceptance of the updated Terms.
